Account Registration and Security

Account Creation

You must connect a compatible Solana wallet to use our Platform
You are responsible for maintaining the security of your wallet and private keys
We never store or have access to your private keys or seed phrases
Each user may maintain only one account

Account Security

You are solely responsible for securing your wallet and account credentials
You must immediately notify us of any unauthorized access or security breaches
We are not liable for any losses resulting from unauthorized account access
You agree not to share your account access with others

Platform Services

Our Platform provides the following services:

NFT Marketplace: Buy, sell, and trade non-fungible tokens
Collection Creation: Create and manage NFT collections (for approved creators)
NFT Minting: Create new NFTs on the Solana blockchain
Profile Management: Maintain user profiles and creator verification
Discovery Tools: Browse and search for NFTs and collections
Creator Tools: Tools and features for content creators

Creator Program and Verification

Creator Application

Users may apply for creator status to access additional features
Creator applications are subject to review and approval at our discretion
We reserve the right to deny or revoke creator status without explanation
Approved creators gain access to collection creation and minting tools

Creator Responsibilities

Ensure all content is original or properly licensed
Comply with intellectual property laws and regulations
Provide accurate information about NFTs and collections
Maintain professional conduct within the community
Respond to legitimate buyer inquiries and disputes

NFT Transactions and Ownership

Transaction Terms

All transactions are conducted on the Solana blockchain and are irreversible
Transaction fees (gas fees) are required for all blockchain operations
We may charge platform fees for certain services
Prices are denominated in SOL or other supported cryptocurrencies
We do not guarantee the availability or price stability of any NFT

Ownership and Rights

Purchasing an NFT grants you ownership of the unique token, not necessarily the underlying content
Intellectual property rights remain with the original creator unless explicitly transferred
You may resell NFTs you own according to these Terms
Commercial use rights depend on the specific license provided by the creator

Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Illegal Content: Upload, mint, or trade content that violates applicable laws
Copyright Infringement: Use copyrighted material without proper authorization
Fraud or Misrepresentation: Provide false information about NFTs or your identity
Market Manipulation: Engage in wash trading, artificial price inflation, or market manipulation
Malicious Software: Distribute viruses, malware, or harmful code
Platform Exploitation: Attempt to circumvent security measures or exploit vulnerabilities
Harassment: Engage in abusive, threatening, or discriminatory behavior
Money Laundering: Use the Platform for illegal financial activities
Spam or Automation: Use bots or automated tools without permission
Circumvention: Attempt to bypass platform fees or restrictions

Content and Intellectual Property

User Content

You retain ownership of content you create and upload
You grant us a license to display, distribute, and promote your content on our Platform
You represent that you have all necessary rights to the content you upload
You are responsible for ensuring your content complies with all applicable laws

Platform Content

Our Platform's design, features, and functionality are protected by intellectual property laws
You may not copy, modify, or distribute our proprietary content without permission
Third-party content may be subject to separate licensing terms

DMCA and Takedown Procedures

We respect intellectual property rights and will respond to valid takedown requests. If you believe your intellectual property has been infringed, please contact us with:

Platform Fees and Payments

Platform Disclaimers

Our Platform is provided "as is" without warranties of any kind
We do not guarantee continuous, uninterrupted, or error-free operation
We are not responsible for third-party content or services
We do not provide investment, financial, or legal advice

NFT and Blockchain Risks

NFTs are speculative digital assets with volatile values
Blockchain transactions are irreversible and final
Network congestion may affect transaction processing
Regulatory changes may impact NFT trading and ownership
Smart contract vulnerabilities may pose security risks
Loss of private keys results in permanent loss of access

Limitation of Liability

To the maximum extent permitted by law:

We shall not be liable for any indirect, incidental, special, or consequential damages
Our total liability shall not exceed the amount you paid us in the preceding 12 months
We are not liable for losses due to user error, technical failures, or third-party actions
We are not responsible for losses resulting from wallet compromise or private key loss
We disclaim liability for NFT value fluctuations or market conditions

Indemnification

You agree to indemnify, defend, and hold harmless Centaurus and its affiliates from any claims, damages, losses, liabilities, and expenses arising out of or relating to:

Your use of the Platform or violation of these Terms
Your content or any intellectual property infringement claims
Your violation of any laws, regulations, or third-party rights
Any transactions or disputes between you and other users

Termination

Termination by You

You may terminate your account at any time by discontinuing use of the Platform. Note that blockchain data cannot be deleted due to the immutable nature of distributed ledgers.

Termination by Us

We reserve the right to terminate or suspend your account immediately, without prior notice, if you:

Violate these Terms or our community guidelines
Engage in fraudulent or illegal activities
Pose a security risk to the Platform or other users
Fail to respond to verification requests

Effect of Termination

Upon termination:

Your access to Platform features will be disabled
Your NFTs remain on the blockchain and in your wallet
Certain provisions of these Terms will survive termination
We may retain certain information as required by law

Dispute Resolution

Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us directly. We will work in good faith to resolve any issues.

Arbitration Agreement

Any disputes that cannot be resolved informally shall be resolved through binding arbitration. You waive any right to participate in class action lawsuits or class-wide arbitration.

Governing Law and Jurisdiction
